  8.                     END-USER LICENSE AGREEMENT
  9.  
  10. THIS SECTION IS APPLICABLE TO FreeTel:
  11.  
  12. GRANT:  FreeTel Communications, Inc., ("FREETEL") hereby grants
  13. you a non-exclusive license to use its accompanying FreeTel
  14. software product ("SOFTWARE") free of charge for the purpose of
  15. evaluating whether to purchase a FreeTel+ Registration Code.  The
  16. evaluation period for use by or on behalf of a commercial entity
  17. is limited to 30 days; evaluations by others is not subject to
  18. this restriction.
  19.  
  20. COMMERCIAL ENTITY:  A "commercial entity" includes, without
  21. limitation, a corporation, firm, association, partnership, sole
  22. proprietorship, government institution, educational institution,
  23. non-profit, religious, or charitable organization, crown
  24. corporation, or trust.

  27. THIS SECTION IS APPLICABLE TO FreeTel+:
  28.  
  29. GRANT:  If you have purchased a FreeTel+ Registration Code (or
  30. you have purchased FreeTel+ as part of a bundle or separately),
  31. FreeTel Communications, Inc., ("FREETEL") hereby grants you a
  32. non-exclusive license to use its accompanying FreeTel and
  33. FreeTel+ software product ("SOFTWARE") in accordance with the
  34. terms of this agreement.

  37. THE REMAINING SECTIONS ARE APPLICABLE TO ALL PRODUCTS:
  38.  
  39. USE:  You may use this SOFTWARE on one computer system.  You may
  40. permit others to use this SOFTWARE on that one computer system
  41. only, provided you do not charge a fee.  You agree not to use the
  42. SOFTWARE in any manner that is illegal, unethical, harassing,
  43. threatening, obscene, or a nuisance.
  44.  
  45. NO DISTRIBUTION:  You are not permitted to make the SOFTWARE
  46. available on a network server, nor distribute the SOFTWARE to
  47. other parties.  However, you may tell them how to download a free
  48. copy of FreeTel from http://www.freetel.com or even provide a Web
  49. link to the site.
  50.  
  51. RESTRICTIONS:  You may not modify, translate, reverse engineer,
  52. decompile, disassemble (except to the extent applicable laws
  53. specifically prohibit such restriction), or create derivative
  54. works based on the SOFTWARE, rent, lease, or otherwise transfer
  55. the rights to the SOFTWARE; or remove any proprietary notices on
  56. the SOFTWARE.  You may not make copies of the SOFTWARE except for
  57. archival purposes.

  59. TITLE:  Title, ownership, and intellectual property rights in and
  60. to the SOFTWARE shall at all times remain in FREETEL.  The
  61. SOFTWARE is protected by the copyright laws of the United States
  62. and by international copyright treaties.
  63.  
  64. DISCLAIMER OF WARRANTY:  THE SOFTWARE IS PROVIDED ON AN
  65. "AS IS" BASIS WITHOUT WARRANTY OF ANY KIND, INCLUDING
  66. WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY
  67. AND FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTY
  68. OF NON-INFRINGEMENT.  SOME STATES DO NOT PERMIT
  69. EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS DISCLAIMER
  70. MAY NOT APPLY TO YOU, AND YOU MAY HAVE OTHER LEGAL
  71. RIGHTS THAT VARY FROM STATE TO STATE.

  73. LIMITATION OF LIABILITY:  UNDER NO CIRCUMSTANCES SHALL
  74. FREETEL, ITS SUPPLIERS, OR RESELLERS BE LIABLE FOR ANY
  75. INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR ANY
  76. LIABILITY IN TORT, CONTRACT, OR OTHER LEGAL THEORY, FOR
  77. COMPUTER FAILURE OR MALFUNCTION, BUSINESS INTERRUPTION,
  78. LOSS OF PROFITS, LOSS OF GOODWILL, OR ANY OTHER
  79. COMMERCIAL DAMAGES OR LOSSES ARISING OUT OF YOUR USE OR
  80. INABILITY TO USE THE SOFTWARE, EVEN IF FREETEL HAS BEEN
  81. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  IN NO
  82. EVENT SHALL FREETEL BY LIABLE FOR ANY DAMAGES IN EXCESS
  83. OF ONE HUNDRED DOLLARS.
  84.  
  85. TERMINATION:  The license will terminate automatically if you
  86. violate any of the provisions of this agreement.  On termination,
  87. you must destroy all copies of the SOFTWARE.
  88.  
  89. EXPORT CONTROLS AND INTERNATIONAL RESTRICTIONS:  You are not
  90. permitted to export, download, or use the SOFTWARE in Switzerland
  91. or any country, state, or jurisdiction that restricts the use of
  92. the SOFTWARE.  You are not permitted to export or download the
  93. software into Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran,
  94. Syria or any other country to which the U.S. has embargoed goods.
  95.  
  96. MISCELLANEOUS:  This agreement represents the entire agreement
  97. concerning this license between the parties and supersedes all
  98. prior agreements and representations.  It may be amended only by
  99. written agreement.  If any provision in this agreement is held to
  100. be unenforceable for any reason, such provision shall be modified
  101. only to the extent necessary to make it enforceable.  This
  102. agreement shall be governed and construed under California law as
  103. such law applies to agreements between California residents
  104. entered into and to be performed within California, except as
  105. governed by Federal law.  The application of the United Nations
  106. Convention of Contracts for the International Sale of Goods is
  107. expressly excluded.
  108.  
  109. U.S. GOVERNMENT RESTRICTED RIGHTS:  The SOFTWARE and
  110. documentation are provided with Restricted Rights.  Use,
  111. duplication, or disclosure by the Government is subject to
  112. restrictions set forth in subparagraph (c)(1) of the Rights in
  113. Technical Data and Computer Software clause at DFARS 252.227-7013
  114. or subparagraphs (c)(1)(ii) and (2) of Commercial Computer
  115. Software - Restricted Rights at 48 CFR 52.227-19, as applicable.
